Common gaps may include no coverage for: 1) former employees, 2) independent contractors, 3) leased or temporary staff or 4) boards of directors. Clarify any subtle differences now as they can have a significant impact on a claim down the road.
Exclusions When reviewing policy forms, just because one form has 15 exclusions and the other form only has two does not necessarily make the one with two exclusions the broader form. 有价无市<> "有价无市"顾名思义指的是在名义价钱一片繁华的情况下,成交价格却远远达不到"标价".有价无市象征的是一种泡沫经济,拿到今年的楼市来说就是楼市显现着一个个或大或小的泡沫,在房价不断看涨的情况下,实际成交情形和价格却并不如大家设想的那么美妙.进入11月中旬,北京、上海乃至广州、深圳等一线城市,楼市价格都水平不同地出现了"有价无市"局势,使得2007年以来扶摇直上的房价开始局部松动.尤其是被称为全国楼市价格风向标的上海,成交量急剧萎缩.令人迷惑不解的是,开发商们宁肯变相打折、降价,也不肯实切实在的告知购房人降价的事实.
拐点<> 有关楼市拐点的争论近期此起彼伏.而媒体有关深穗房价降落的新闻就像一根导火索,点燃了人们对楼市拐点的料想.有人以为,楼市拐点已经到来,深穗房价降低就是这一拐点呈现的预兆.也有人认为,深穗房价下降只不外是楼市涌现的一种部分的调剂,楼市总体上来说仍处于回升通道.公说公有理,婆说婆有理,一时难分高低.拐点原指数学上转变曲线向上或向下方向的点,借指事物的发展趋势开端改变的处所.有关房价拐点的争辩在自2003年此轮房地产调控开始以来就未间断段过,然而,购房者在所谓的拐点说中盼来得却是房价的连续上涨.历次拐点断言的一呼百应颇值得深味,它折射出的或是大众对公道房价的急切诉求.

有一回,毛泽东问我感触怎么?我答:
我生六十多年,耳闻的不说,所亲眼看到的,真所谓"其兴也浡焉","其亡也忽焉",一人,一家,一集团,一处所,乃至一国,不少不少单位都没有能跳出这周期率的支配力.hh一部历史,"政怠宦成"的也有,"人亡政息"的也有,"求荣取辱"的也有.总之没有能跳出这周期率.中共诸君从从前到现在,我略略了解的了,就是生机找出一条新路,来跳出这周期率的支配.
毛泽东答:咱们已经找到新路,我们能跳出这周期率.这条新路,就是民主.只有让人民来监视政府,政府才不敢松散.只有人人起来负责,才不会人亡政息.(黄炎培《延安归来》,《八十年来mm黄炎培自述》,文汇出版社2000年版,204m205页)
五十八年后,重温窑洞对话,跳出历史的"周期率"还是一个未实现的标题.当历经世变沧桑的黄炎培在延安提出这个问题时,他曾亲眼目击清朝倒台、共和肇建、袁世凯称帝、军阀混战、蒋介石政权在血泊中浮起hh从"其兴也浡焉","其亡也忽焉"的大量事实中,他总结出的历史"周期率",无疑拥有深刻的洞悉力,但他对造成这一"周期率"的原因所作的剖析却远远不够.他说:"大凡初时目不转睛,没有一事不必心,没有一人不卖命,兴许那时艰苦困苦,只有从万死中觅取终生.既而环境慢慢好转了,精神也就匆匆放下了.有的因为历时久长,做作地惰性发生,由少数演为多数,到风尚养成,虽有鼎力,无法扭转,并且无法补救.也有为了区域一步步扩展了,它的扩大,有的出于天然发展,有的为功业欲所驱使,强求发展,到干部人才渐见竭蹶、艰于敷衍的时候,环境倒越加庞杂起来了,把持力不免趋于软弱了."(同上204页)他所想到的原因都是人治方面的,也就是他自己概括的"政怠宦成"、"人亡政息"之类.毛泽东自称找到了跳出"周期率"的"新路".遗憾的是,黄炎培对此坚信不疑:"我想:这话是对的.只有大政方针决之于大众,个人功业欲才不会发生.只有把每一个地方的事,公之于每一个地方的人,才干使地地得人,人人得事.把民主来打破这周期率,怕是有效的."(205页)何况,他的延安之行真正算得上是浮光掠影,并没有看到延安的真问题,所以他才会说:"延安五日旁边所看到的,当然是距离我理想相称近的."(同上)
其实,即使就"民主"这个词来说, 在汉语中就容易发生歧义,它往往是与站在"民"的另一面、至高无上的"主"们所提出来的.中国向来不乏"为民作主"的传统,从明君到清官都怀抱民本理想,"民主"至多只是君主、圣主对人民的赏赐,而缺的偏偏是人民自主的观念.黄炎培当然读不到1943年6月6日毛泽东批评彭德怀民主观的那封信,不晓得"民主"对毛泽东和 *** 而言只是一个旗号、工具、手腕,既是和国民党争天下的有力兵器,也是诈骗、麻木知识分子和广大青年的漂亮幌子,shanghai escort,王实味洞穿了其中一二即遭灭顶之灾,延安是不容批评的.他更没有想到,毛泽东心目中的"民主"完整有可能只是"为民作主",beijing massage,相似于历史上圣君明主的纳谏、亲贤人、远君子,与真正的民主并不是统一回事.所以,他才会轻信毛的许诺,以为 *** 真的要搞民主,跳出历史"周期率"的支配,防止"人亡政息"的覆辙.
民主,多少人借你的名义!有人借你粉墨登场,有人以你作为自己独裁的装潢品.专制主义打着"民主"的旗号可以说史不绝书.以中国专制泥土之深沉,民主观念之单薄,要跳出这"周期率"又谈何轻易.毛泽东早在"七大"的口头讲演中就明白说,"开国以后,掌握政权以后,我们的奋斗对象就是民主人士了."(《21世纪环球报道》2003年3月3日,李锐专访)可怜那些倒向"左"或被蒋介石逼向"左"的知识精英们对此一窍不通.历史真作弄人.

一部近代史就是民主与独裁重复较量的历史,专制始终阴魂不散,民主至今仍捷足先登,老是无奈摆脱兴衰成败、周而复始的轮回运气.要走出历史"峡谷"、跳出"周期率"真是步履艰巨,搬动一张桌子也要流血啊!其中起因诚然有良多,要其大者无非是这样几条,在上者毕竟难以解脱"打山河,坐江山"的传统心态,打不破"普天之下,难道王土"的无穷权利模式,在下者难以从帝王崇敬情结中解放出来,君不见仲春河之类的"帝王小说"系列,帝王、宫廷影视剧大行其道,大有市场,即使张艺谋鲜廉寡耻、向暴君谄谀的《好汉》片子也有伟大的票房效应.言传身教,一方面有什么样的轨制就有什么样的人民,一方面有什么样的国民也决议了会有什么样的制度,一句话,"天子梦"在中国远不做尽,至多换了一种情势、一个名称.中国传统文明的大局部说穿了也只是为帝王服务的文化.两千年来,作为民族灵魂的常识分子从精神到灵魂都是扭曲的、跪着的.即便其中的优良分子也走不出"屈原人格"的暗影,"第二种虔诚" 总是在他们心头萦回不去.屈原"忠而不见信",保持直言敢谏,不惜失去官位甚至性命,尚有人格可言,只管愚忠算不上独破的古代人格,但与所有苟活者不可同日而语.至于蝇营狗苟之徒,媚上、势利,热衷功名利禄,依靠势力等等,所在多有,那就更加等而下之了.恰是他们在昼夜复制着为帝王服务的文化.
从"屈原人格"到"蔡锷人格"穿梭了二千年时间的地道.蔡锷起兵反对袁世凯称帝,绝不争个人权位,而是"为国民争人格",以三千羸弱之卒抗袁氏十万大军,毫无害怕.功成身退,实践承诺,决不迷恋."蔡锷人格"为近代中国建立了一座遥不可及的丰碑,惋惜那只是空谷足音,前不见古人,后不见来者,念天地之悠悠,独沧然而涕下.
在蔡锷诞生前三十多年,一场起自偏远的广西山区的急风暴雨式的农民暴动,打着"太平天国"的旗帜席卷了大江南北,震动了全部华夏大地.拨开覆盖在洪秀全他们头上的神圣光环,我们发明洪秀全也好、杨秀清也好,这些二心要在世间建造"天国"的人们,树立的到底是谁的"天国"昭然若揭,所谓"天国"只不过是他们个人穷奢极侈、享受荣华富贵的安泰窝,而对宽大百姓来说同样是地狱,甚至比满洲人治下的地狱还不如.他们的作为经常让我想起土谷祠中阿Q的"革命"梦,低微的阿Q也想"革命",但他 "革命" 的目标很明白,就是为了吴妈、"秀才娘子的宁式床"hh,女人、财帛这就是他全体的追求.在实质的意义上,一切农夫造反者,成功的或失败的,从洪秀全到欲造反而不得的阿Q到毛泽东都是一致的.他们的追求是由他们身上的文化基因决定的,他们不可能给古老中国带来新的文明因子.
如果说有变化,那么变化是从康有为、梁启超他们开始的,1895年,13岁的少年蔡锷考中秀才的时候,康有为们已经在北京筹备"公车上书",提出变更的请求了.三年后,维新运动热气腾腾,康有为活泼在北京新政的舞台上,16岁的蔡锷徒步跋涉,从故乡湖南邵阳来到省会长沙,考入长沙时务学堂,成为梁启超的学生.然而,当百日维新被慈禧太后抹杀在血泊之中,康有为流亡海外以后,并没能"与时俱进",承当起推动中国文明先进的义务,他的身后始终拖着一条长长的辫子,就如他思想深处也拖着一条"保皇"的尾巴.正由于他跟不上时代的步调,他的弟子梁启超才会和他各奔前程.康有为是近代中国的一个神话,这个神话源于他对"帝王师"的执著追求,他把这一目的摆在最高的地位,处处以帝师自命,不惜虚构戊戌变法的历史,掩饰本相,造衣带诏,在华侨与留学生中宣扬保皇,筹巨款以自重,说白了,玩的都是权术,朝思暮想的只是他个人的荣辱位置.他环游列国,刻了一颗长达27个字的图章:"维新百日,出亡十六年,三周大地,游遍四洲,经三十一国,行六十万里".其中不无自得,然而究竟与时代愈来愈远了,历史无情地将他淘汰出局,就如另一个曾走在时代前列、领过历史风流的严复,最后竟沦为"筹安六正人"之一.
孙中山的出场直接导致了中国社会的转型,停止了连绵数多少千年的帝制时期,将皇冠、血统世袭制等为特点的王朝体系扔进了历史的垃圾堆,为中国引入了全新的共跟政体.之后,袁世凯皇袍加身的野心、张勋拥废帝弹冠相庆的打算都如过眼云烟.近百年来,不论有多少风波变幻,任何专制者想恢复一家一姓的王朝美梦都失去了可能性.这是孙中山、黄兴他们留给历史的最大功绩.孙中山缔造民国,功在千秋,他的所出缺憾都不能与他这一宏大功劳等量齐观.
尽管他身上也有历史性的遗憾,比方1920年1月,他对北大学生张国焘、康白情、许德珩等说:"你们对抗北京政府的举动是很好的;你们的革命精神也是可信服的.但你们无非写文章、开大会、 *** 请愿、奔忙呼号.你们最大的成就也不过是聚集几万人示威 *** ,罢课、罢工、罢市几天罢了.如果我当初给你们五百支枪,你们能找到五百个真正不怕逝世的学生托将起来,去打北京的那些败类,才算是真正革命."中国历史上的改朝换代(无论上层的宫廷政变,还是下层的农民起义)都是暴力造成的,近代以来的历史也反复表明,只有暴力才是决定中国政治的最后声音.暴力革命的传统已经渗透孙中山的骨髓里,所以在他看来,"五四"运动只不过是赤手空拳地与北洋政府抗争.他看不到"五四"的重粗心义之一就在于它给中国供给了另一种有别于暴力传统的先例.它并不诉诸武力,它的力量是思想的气力、思潮的力量,它反对旧思想、旧文化、旧权势,提倡新思想、新文化,并不从政治层面入手,以篡夺权力为目标.这是一辈子从事暴力革命的孙中山所难以懂得的.即使在他高度确定"五四"的《致海本国民党同道书》中,思想也是为政治服务的,而不具备本身独立的价值.
"二次革命"失败后,孙中山在日本重建中华革命党,这不是一个公然的政党,全部党员要服从党魁命令,各具誓约,誓愿就义生命、自由权力,还要在誓言上加印右手中指指模."首以遵从命令为独一之要件.凡入党各员,必自问情愿屈服文一人,毫无疑虑而后可".党章中把党员分为首义党员、帮助党员、一般党员,在革命胜利当前分辨为功臣公民、有功公民、进步公民,以"革命"的名义剥夺了大部门人的公民资历.这是典范的"打江山、坐江山"的中国式逻辑,他疏忽了没有人权概念的普遍遍及,没有国民社会的构成,民主制度不外是海市蜃楼,这不是依附对革命者授予优先特权、照功行赏就能解决的.
回想漫长的革命征程,面对一连串的失败,孙中山暮年转而向新生的苏联追求辅助,走上"联俄联共"的道路,并以苏共模式改选中国国民党.1924年1月20日,他在中国国民党第一次全国代表大会上首次提出"以党建国"、"以党治国"、"党在国上"的观点,"先由党造出一个国来","以党建国","把党放在国上".这一"党在国上"思想为蒋介石将"民国"变成"党国"铺平了途径.在有着深挚王朝传统的土壤上,由"家天下"到"党天下"只有一步之遥.对身后涌现的"党国",孙中山虽然始料未及,但不能不说是他留下的最大遗憾.
陈英士、陈炯明都曾是跟随孙中山的联盟会人,他们在上海、广东控制权力之后,疏忽约法,革除异己,钳制舆论,枪杀报人,草菅人命,一点人权观点也没有,孙中山对此无可奈何.陈英士派人刺杀收复会首领李燮和、陶成章,枪杀陶骏葆.陈炯明限令遣散常设省议会,血腥弹压其余民军,悍然枪决有名报人黄世仲.《广州公言报》、《陀城日日消息》主持人陈听香打抱不平,陈即时下令关闭两报,并将陈听香拘捕枪毙,比张作霖等军阀杀邵飘萍、林白水早了十三年,beijing escort,那时离民国成立仅三个多月.这一切充足裸露出人道中昏暗、残暴的一面.实在,在"打江山、坐江山"的心态安排下,无论什么人把握了没有制约的权力,都将是危险的.权力腐化人,为了坚固得手的权力,昔日的幻想主义者也会演变,缺乏有效的权力制衡,缺少对异己、对不同声音的容纳,成果只能在兴衰成败的"周期率"中打转.
宋教仁和蔡锷两个湖南青年都是中国政治史上异质的因子,他们像彗星一样过早地陨落,是民族的重大丧失.宋教仁有着阳光个别的性情,他试图把中国政治引入阳光的轨道,他身上没有敌人意识,从不疑惑政敌的人格,对中国政治的险恶缺乏清醒的认识,在民初转瞬即逝的舞台上,他刹那的光华几乎照亮了数千年的黑暗,他以为有了民国,有了宪法,实现两党制、责任内阁、权力制衡、自由竞选乃是理所当然的.他组织国民党,亲身访问梁启超,以轮流执政相期许,和袁世凯的心腹过从甚密,对袁也并无反感,即使在上海火车站中弹之后,他在弥留之际口授的电文中仍对袁抱有希望.你可以说他成熟、说他糊涂,但你不得不否认他是合适推动民主的政治家,也难怪他曾刮起永远令人悼念的"宋教仁旋风".他的阳光性格正好与袁世凯阴暗、自私、不可告人的帝王心态,以及无限权力不容他人觊觎的传统政治规矩发生了不可协调的抵触.袁世凯以残暴的手段将他置于死地,也无情地扑灭了中国人追求民主宪政的浪潮.宋和袁的对照就是近代与古代的不同,可怜的是中国仍停留在古代,宋教仁以年青的生命为百年中国留下了一个悬念.他的死标志着又一次跳出历史"周期率" 的努力失败了,成王败寇的逻辑持续主导着中国,曾几何时,孙中山、黄兴hh这些民国元勋在自己缔造的民国成了通缉犯,再度踏上流亡的老路.
年轻的蔡锷站出来向天下已成其囊中之物的硕大无朋袁世凯说不,护国壮举的背地并无个人目的,仅仅是"为四万万国民争人格",天然也包括为他自己争人格.起事先夕,他和梁启超在天津相约:"事之不济,吾侪死之,决不流亡;若其济也,吾侪引退,决不在朝."这番誓言,至今读来仍掷地有声.他是近代将领中唯一一个富有知识分子气质的人,他之所以冒险犯难,逃离北京,起兵反袁,完全基于他对共和理想的矢志不渝,他对人格尊严的在意与追求,而他对袁本人始终是心存感怀的.这一豪举虽然未能结束几千年扶植起来的忠君文化、权力崇拜文化,但这毕竟有别于"打江山、坐江山"的传统取舍,在中领土壤上终于出现了一点异质的货色,在几千年长夜之后终于曙光初现,怎么肯定其意义都不为过.

跳出"周期率",靠的是制度转型诚然没错,但制度转型须要文化的支持,在成王败寇、"打江山、坐江山"的传统格式下,在积重难返的皇权崇拜、青天情结安排下,当一个民族最优秀的精髓因子也只会在"屈原人格"中打转,走不出"第二种忠实",走不出幕僚情结,即使有了共和的形式,有了宪法、议会和总统,也不会有真正的民主,无非是"其兴也勃焉","其亡也忽焉".这其中至关主要的一点是言论自由,舆论自在不仅是知识分子的生命线,也是一个社会文明水平的基本标记.一个没有言论自由的国家相对称不上文化国度.
从王韬、梁启超到邵飘萍、张季鸾、胡政之、胡适、储安同等,几代知识分子为此付出了智慧、血汗乃至生命.从1874年王韬在香港创办《循环日报》到1948年储安平的《察看》周刊被封杀,近百年来,知识分子"文章报国"的理想从未泯灭过,他们对现实事务、历史事件的判定容或有错,但他们对文明大势的断定基础上是苏醒、正确的.他们都意识到中国必需从旧的传统中走出来,结束周而复始、恶性循环的命运,也就是跳出"周期率".他们从言论入手,尽言论之本分,"监督政府,向导国民",一直地争夺言论自由.无论面对晚清王朝还是袁世凯,无论是不拘一格的北洋军阀,还是蒋介石、日自己,他们都一样遵守言责,毫不懈怠.他们的思想或者各不雷同,他们的事实关心程度也天差地别,相同的是他们对言论自由的寻求.没有思想自由、言论自由,一个古老的专制国家就不可能走出古代,踏上近代的门槛.
梁启超是上个世纪之交"言论界的骄子", 他以《新民说》等大批文章、著述给中国带来了某种愿望,从《时务报》到《清议报》、《新民丛报》,他那带有情感的笔锋沾染了不止一代人,直接影响了蔡锷等学子,间接影响了简直每一个知识分子.在戊戌变法失败后的苦楚岁月里,他走出了老师康有为的影子,造诣了上个世纪之交一个知识分子所能到达的最高成绩.1912年,在阅历了十五年的亡命生活后,他返回祖国,在一次报界欢送大会上,他无比感叹地说:清王朝的覆灭、中华民国的出生,"则报馆宣传之功最高",他称之为"以黑血革命代红血革命".梁启超毕生耿耿以"新民"为念,辛亥革命之前的十八年中他先后办过七个报刊,以其言论、思想改变了一个时代,丰盛了民族的精神宝库.他以为立言的主旨就在于"浚牖民智,薰陶民德,发挥民力,务使养成共和法治国国民之资格".(《梁启超选集》第四册,北京出版社1999年版,2509页)所以,他回国以后,面对潮水般的欢迎,他首先想到的是重操旧业,表现愿以办报为本人终惹事业.他的这一认识无疑是相称深入的.遗憾的是民国初年他经不起种种引诱,一脚踩入了污泥浊水的政坛,为众人所诟病.一个言论界的梁启超,其影响、作用弘远于一个总长的梁启超.
当陈独秀痛定思痛创办《新青年》,打出"德先生"和"赛先生"的大旗,一场孕育了新文化的"五四运动"就跃然纸上了.陈独秀曾言,办报十年,国中风气当为之一变.邵飘萍、林白水抱定新闻救国之志,不惜流血.与他们的殉道精神比拟,他们的毛病不过是白圭之瑕.《大公报》在张季鸾、胡政之他们手里弘扬光大,赢得世界性的名誉不是偶尔的,"小骂大帮忙"的污水遮蔽不了历史的真相,百年回首,我们仍然为他们当年的言论风度而冲动,他们不仅忠诚地记载了一个时代,而且参加塑造了一个时代.《大公报》为代表的民间报纸对国民党专政、腐朽的公开批评,对社会进步、民生幸福的追求,让我们今天读之仍为之动容.在两极对立、左右不是的夹缝中,他们始终坚持自身的独立性,坚持中道而行,尽管他们的一切努力终极都化为了灰烬.
在通向言论自由的路上,每一步都洒满了牺牲者的汗水和血迹.近代中国的每一个渺小的进步都凝固着他们的理想.从胡适、傅斯年、罗隆基、王造时到储安平,直接吮吸过西方文明乳汁的新一代知识分子,他们对中国的弊病有更清醒的懂得,无论他们最后留在大陆,还是去了美国、台湾,他们对中国的感情是一致的,他们试图走出专制传统的阴影是一致的.对他们而言,言论自由是禀赋人权,是与生俱来的.1929年,胡适、罗隆基在《新月》公开批驳国民党一党专政,发动人权运动时,他们没有一丝的恐惧.王造时无论在写《从"真命皇帝"到"流氓皇帝"》时,还是在办《主意与批评》、《自由言论》半月刊时,面对怎样的压力、危害、要挟,他都没有屈从,这些领有博士头衔、洞悉人类文明趋势的知识者,在他们心目中,发言是天职,批评政府是常态.当官对他们没有什么诱惑,王造时几回拒绝过蒋介石的笼络,罗隆基也曾拒绝当国民党的部长,胡适一辈子有许多从政的机遇,包含做教导部长、行政院长等,他都逐一拒绝了,只愿当战时的驻美大使、北大校长.
有这样的认识,他们才有足够的底气,坦荡面对一切袭来的横逆.储安平办《视察》是中国自由主义在20世纪最后一次实践冲刺,《文汇报》、《新民报》等被封杀,他站出来抗议;民盟被禁,他发表北京48教学的联名抗议;即使"政府利刃,指向《观察》",他也要谈话hh1948年12月,《观察》终于沉溺在一个黝黑的永夜里.

Typically, when looking to move an account from one carrier to another, you can count on some degree of similarity in policy forms. For the most part, a general liability policy with one standard company will look similar to the general liability policy with another standard carrier. If looking to move a professional liability account from one carrier to another, it is critical to conduct this detailed analysis as the differences will be more extensive.
Lets look at some more common differences.
Overall Form
Most (but not all) professional liability carriers provide this coverage on a claims-made basis, meaning claims reported during the policy period are covered provided the actual error, which could have occurred months or years ago, was after any applicable retroactive date (more on this shortly). While few professional liability coverages are written on an occurrence form, they do exist. Some professional liability coverages, also commonly called errors and omissions (E&O),canada goose vest, are written on a claims-made and reported basis. The distinction here is that for coverage to apply, claims must be made and reported to the carrier in the same policy term.
Key Terms
Retroactive (or Retro) Date vs. Full Prior Acts This extremely important concept will have a huge impact on whether a claim is valid. Using agents E&O in our example, for a claim to be valid the error committed by the agency, such as failure to put collision on a vehicle, must be after the retro date. If the error occurred before the retro date, no coverage would be provided.
The retro date is typically shown on the face of the policy. If the declarations sheet states full prior acts or none in the area where a retro date would be noted, there is no retro date and the insured is protected for errors made regardless of when they were committed.
If moving an account to another carrier and Carrier A is providing full prior acts, be certain Carrier B is providing full prior acts,canada goose, too. If Carrier B requires a retro date, without further modifications, you could be exposing your client to a gap in coverage. There is a good chance the premium with Carrier B will be less since they are affording less coverage. Any time there is a difference in retro dates when you are considering moving an account, counsel your client to purchase a tail on the old policy to cover any coverage gaps.
Covered Activities To provide professional liability, you must have a full understanding of the activities your specific client is handling. If you are considering moving your account to another carrier, compare the activities for which the policy provides coverage and then meet with your client to review to determine whether they perform any activities that would not be covered.
Definition of Insured Differences in this area occur, so be certain to analyze the forms. Common gaps may include no coverage for: 1) former employees, 2) independent contractors, 3) leased or temporary staff or 4) boards of directors. Clarify any subtle differences now as they can have a significant impact on a claim down the road.
Exclusions When reviewing policy forms, just because one form has 15 exclusions and the other form only has two does not necessarily make the one with two exclusions the broader form. Using agents as an example, if an agency sells its business to another agency, the seller would buy a tail. This provides an additional period of time after the expiration of the policy for which valid claims will continue to be accepted, provided the wrongful act occurred before the end of the policy period. Some policies may only allow options up to three years, while some carriers may provide up to 10 years or even an unlimited period.

When one thinks of professional liability, oftentimes the following classes of professional business come to mind: real estate agents, lawyers, medical professionals, accountants and insurance agents.
